The following Terms & Conditions apply to all transactions with Ema Vino Ltd (β€œwe”, β€œus”, β€œour”) and form the basis upon which all orders are accepted.

They shall continue to apply to all future dealings unless or until varied by written agreement between both parties.

1. Sales and Delivery

β€’ All wines are sold ex-LCB unless otherwise agreed in writing.

β€’ Delivery charges, duty, and VAT will be applied as appropriate on all shipments.

β€’ For export customers, we can recommend suitable freight forwarders, but carriage and insurance remain the buyer’s responsibility.

β€’ Delivery or collection dates are approximate and may vary due to factors beyond our control. We are not liable for any delay in delivery.

2. Prices

β€’ All prices are quoted in GBP (Β£) unless otherwise stated.

β€’ Prices are per case (cs) or per bottle (bt) as indicated.

β€’ Prices are:

β€’ Exclusive of VAT and duty if listed IB (In Bond)

β€’ Exclusive of VAT only if listed DP (Duty Paid)

β€’ Exclusive of delivery charges

β€’ Prices are provisional and subject to confirmation upon acceptance of order and may vary due to market movement prior to payment.

3. Payment

β€’ Payment is due on receipt of invoice unless an account facility has been pre-approved in writing.

β€’ Export orders must be paid in full prior to release.

β€’ Payment must be made by bank transfer to the account specified on the invoice.

β€’ Any overdue sums will accrue interest at 5% per annum above the Bank of England base rate, from the due date until payment is received in full.

β€’ We reserve the right to:

β€’ Allocate any payment received to any outstanding invoice as we deem appropriate;

β€’ Retain possession of goods until all overdue payments have been settled;

β€’ Charge a cancellation fee for unfulfilled orders resulting from non-payment;

β€’ Liquidate stock held on behalf of the client to recover outstanding sums.

β€’ If payment remains overdue, we may suspend further deliveries or collections until the account is settled.

4. Title and Risk

β€’ Legal title to all goods remains with Ema Vino Ltd until payment in full has been received.

β€’ Risk in the goods passes to the buyer upon collection or delivery, whichever occurs first.

β€’ Buyers are responsible for arranging appropriate insurance once risk has transferred.

5. Non-Collection and Storage

β€’ Wines not collected within one month of release will be automatically transferred to storage and charged at Β£9.00 plus VAT per case per year, billed in advance with a minimum charge of six months.

β€’ Wines held in storage are subject to these Terms & Conditions.

6. Inspection and Acceptance

β€’ Buyers must inspect all goods upon collection or delivery and notify Ema Vino Ltd or the freight forwarder immediately of any shortage, damage, or discrepancy.

β€’ After fourteen (14) days from delivery or collection, all goods will be deemed accepted and cannot be rejected or returned for any reason.

7. Description and Quality

β€’ We make every effort to ensure wines are properly cellared and sourced in good faith.

β€’ All suppliers are required to provide wines in excellent condition, including capsules and labels.

β€’ However, we cannot guarantee the condition, or natural development of any wine, particularly older vintages.

β€’ Requests for replacement of wines found to be undrinkable will be considered at our discretion only.

8. Force Majeure

β€’ We shall not be liable for any delay or failure to meet our obligations caused by circumstances beyond our reasonable control, including (but not limited to) extreme weather, war, transport disruption, strikes, or government restrictions.

9. Age Restriction

β€’ By placing an order, you confirm that you are at least 18 years old.

β€’ We reserve the right to request proof of age before completing any sale or delivery.

10. Data Protection

β€’ We process personal data in accordance with our Privacy Notice and applicable UK data protection law.

β€’ By placing an order, you consent to us using your information for the purpose of fulfilling your purchase and managing our customer relationship.

11. Limitation of Liability

β€’ To the fullest extent permitted by law, our liability for any claim, whether arising in contract, tort, or otherwise, shall not exceed the total price of the goods supplied.

β€’ We are not liable for indirect or consequential losses, including loss of profit, revenue, or goodwill.

12. Jurisdiction

β€’ All contracts are governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.

β€’ All wines are offered subject to market movement and remaining unsold.
